Plain-language summary

- Om primarily provides access to models, model-enabled workflows, APIs, and Data Generation workflows. Om Data and Generated Data are licensed, not sold. - Subscription plans control subscription-gated products, model-enabled workflows, plan-only APIs or MCP tools, Om-hosted models, Data Generation Slots, and related quotas. - Molecule Fulfillment workflows may be backed by third-party providers. Om strives to work with reputable providers that we believe meet high quality standards and to keep provider-backed availability, pricing, quote, and status information accurate, but Om does not guarantee provider outcomes. - A paid Data Generation order, checkout flow, order form, or written Om agreement grants continuing rights to use Generated Data for the ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid, subject to these Terms and any order-specific restrictions. - Generated Data is for your permitted use under the applicable Om license. Unless Om expressly agrees in writing, you may not publish, resell, sublicense, redistribute, disclose, or make Generated Data available as a dataset or data product. - You may continue to use and publish Customer Derived Data, meaning your own independent downstream experimental results, assays, annotations, validation data, conclusions, and analyses, so long as it does not include or enable reconstruction of Generated Data, Om Data, Om model outputs, distilled model predictions, or restricted model artifacts. - Om may use Generated Data from Data Generation workflows to improve, train, fine-tune, evaluate, and make available Om models or model-enabled services, but we do not make your customer-specific raw Generated Data or training dataset available to other customers as a standalone dataset unless a separate written Om agreement or order form expressly says so. - Data Generation is non-exclusive unless Om expressly agrees otherwise. If another customer independently requests the same or similar protein sequence, target, SMILES, molecule, interaction pair, or workflow, Om may generate or provide the same or similar predictions, scores, rankings, data, or outputs for that customer without treating that as a disclosure of your Customer Data or your customer-specific Generated Data. - Customer-specific raw Generated Data and training datasets from Data Generation are not published, resold, redistributed, licensed, or disclosed to other customers as standalone datasets or data products unless a separate written Om agreement or order form expressly says so. - We do NOT use personal information (name, email, payment details, etc.) for model training or sale. - Subscription plans may control Data Generation Slots, plan-only model access, plan-only API or MCP access, Om-hosted model access, and related entitlements. Wallet Credits are tracked separately from Data Generation checkout, invoice, and Data Generation Slot entitlements unless a written Om agreement expressly says otherwise. - If a subscription ends, subscription-gated access, Data Generation Slots, plan quotas, plan-specific paid workflow pricing, and plan-only Om-hosted or customer fine-tuned models end unless a separate written Om agreement or order form expressly says otherwise. Separately funded Wallet Credits and supported pay-as-you-go usage remain governed by your wallet balance, account standing, product availability, and these Terms. - Subscription cancellation by itself does not require deletion of Generated Data already generated and paid for under a Data Generation order. Unpaid orders, unauthorized transfers, out-of-scope use, and restricted Om materials outside a paid order may still require stopping use, return, deletion, remediation, or other remedies. - Canceling a subscription stops future renewal according to the applicable checkout flow, order form, or written Om agreement. It does not waive monthly installments or other amounts already owed for the current commitment. - If you publish or share Generated Data, Om Data, Outputs, Om model outputs, distilled model predictions, restricted model artifacts, or license-contingent Digital Derived Works beyond the license scope, that use may be a material breach and you remain responsible for downstream recipients that receive those materials from or through you. - Unauthorized transfer or out-of-scope commercialization may result in suspension, termination, required remediation, injunctive relief, damages, litigation, or other remedies available by law if not cured to Om's satisfaction or if Om determines immediate action is appropriate. - Physical Derived Works created while you had a valid license remain yours and may be used after subscription ends, subject to your license scope and the restrictions in these Terms. - We use technical compliance tools to protect licensed data and enforce license scope.

1. Who We Are; Acceptance

These Terms of Service ("Terms") govern your access to and use of the websites, APIs, tools, and services provided by Om Therapeutics, Inc. ("Om," "we," "us," or "our"), a Delaware C Corporation with its principal place of business at 3210 Merryfield Row, San Diego, CA 92121 USA. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy available at /privacy-policy. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity. You must be at least 18 years old to use the Services.

2. Key Definitions

  • Om: Om Therapeutics, Inc., a Delaware C Corporation with its principal place of business at 3210 Merryfield Row, San Diego, CA 92121 USA.
  • Service Data: protein sequences, molecular inputs, and computational requests you submit to the Services.
  • Outputs: results returned by the Services (for example, predictions, reports, generated files, rankings, or datasets).
  • Generated Data: datasets, files, reports, rankings, predictions, and other data outputs generated by Om for you through a paid Data Generation order, checkout flow, Data Generation Slot workflow, order form, or written Om agreement.
  • Om Data: Outputs, model outputs, data files, datasets, reports, rankings, predictions, software artifacts, and other data or digital materials Om provides through the Services.
  • Data Vintage: a versioned data release or snapshot identifier used for provenance, reproducibility, access routing, or benchmarking. A Data Vintage is not a separate purchase product, resale right, or broader platform license unless a written Om agreement expressly says so. Data Generation order access for an ordered protein_uuid may include updated snapshots or vintages Om makes available for that same protein_uuid.
  • Subscription Plan: the subscription-gated entitlements, Data Generation Slots, plan quotas, plan-specific paid workflow pricing, plan-only model access, plan-only API or MCP access, Om-hosted model access, and related entitlements you purchase.
  • Data Generation Slot: a Data Generation workflow included with a subscription that may be in process at the same time as other authorized workflows, not a monthly publication, resale, or ownership quota.
  • Molecule Fulfillment: provider-backed search, quote, checkout, order, shipping, status, or related fulfillment workflows for physical molecules or related materials made available through the Services.
  • License Coverage: a paid Data Generation order, paid checkout, subscription, order form, or written Om agreement that authorizes the relevant access, use, workflow, or delivered material. Subscriptions govern subscription-gated entitlements, Data Generation Slots, plan quotas, plan-specific paid workflow pricing, and plan-only model, API, MCP, or Om-hosted model features; paid Data Generation orders govern Generated Data for the ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid.
  • Derivative Models: any machine learning models, weights, embeddings, parameters, or checkpoints trained, fine-tuned, or validated using Om Data or Generated Data.
  • Derived Works: any works you create using Om Data combined with your own or third-party data, materials, or intellectual property, including Digital Derived Works and Physical Derived Works.
  • Digital Derived Works: any machine learning models (including Derivative Models), software code, digital datasets, embeddings, computational predictions, distilled model predictions, or other digital artifacts generated using the Services, Generated Data, or Om Data.
  • Physical Derived Works: any physical chemical compounds, biological materials, assays, pharmaceutical products, or therapeutic candidates synthesized, manufactured, or developed by you using Om Data or Digital Derived Works.
  • Customer Derived Data: your independent downstream experimental results, assays, annotations, validation data, conclusions, and analyses created from your own work after using the Services. Customer Derived Data excludes Generated Data, Om Data, Outputs, Om model outputs, distilled model predictions, Digital Derived Works, and any materials that would allow a third party to reconstruct those restricted materials.
  • Protected Health Information (PHI): any information about health status, healthcare provision, or healthcare payment that can be linked to a specific individual, as defined under HIPAA and other healthcare privacy laws.
  • Services: Om websites, apps, APIs, SDKs, plug-ins, the Diligence tool, and any other product developed by Om Therapeutics, Inc.

3. Accounts and Eligibility

You are responsible for your account credentials and for all activities under your account. You will provide accurate information and keep it up to date. We may suspend or terminate accounts for breach of these Terms or misuse of the Services.

4. Unacceptable Use

  • Use Generated Data, Om Data, or Digital Derived Works without paying required license fees or other applicable fees to Om, or outside the scope of the applicable paid order, subscription plan entitlement, paid checkout flow, order form, or written Om agreement.
  • Violate any applicable law, regulation, or third-party rights.
  • Upload unlawful, harmful, infringing, or confidential information you lack rights to disclose.
  • Reverse engineer, decompile, attempt to extract source code or models, or circumvent security or rate limits.
  • Scrape, harvest, or bulk-download Generated Data or Om Data outside the scope of your license or without paying required fees; benchmark or publish performance results except with our written consent.
  • Use Om Data or Derivative Models to generate synthetic labels or guidance to train a secondary model intended to bypass these Terms.
  • Transfer or disclose Generated Data, Om Data, Om model outputs, distilled model predictions, model weights, embeddings, parameters, checkpoints, or similar restricted model artifacts to third parties except as explicitly permitted by your plan, order form, or written Om agreement.
  • Create, publish, sell, sublicense, redistribute, or otherwise make available datasets or data products that are primarily comprised of, substitute for, or allow reconstruction of Generated Data, Om Data, Om model outputs, or distilled model predictions.
  • Provide PHI or other regulated data unless we have executed a written Om agreement permitting it.
  • Introduce malware or interfere with the Services' operation.

Authorized exports or bulk retrievals delivered via Om's APIs or signed URLs are permitted when they are within your paid license scope.

5. Data Use and Model Training

We use Service Data and Outputs to provide, maintain, secure, troubleshoot, validate, and improve the Services and Om Platform and, where permitted by the applicable product flow or written Om agreement, to train, fine-tune, and evaluate the Services and Om Platform. For Data Generation and other products or written Om agreements that so provide, we may also use Service Data, Outputs, and Generated Data to improve, develop, train, fine-tune, evaluate, and make available Om models or model-enabled services. Unless a separate written Om agreement or order form expressly permits a specific publication or data-sharing exception, we do not make your customer-specific raw Generated Data or training dataset available to other customers as a standalone dataset or data product. This protection does not prevent Om from using the data internally for platform improvement, training, fine-tuning, evaluation, or model-enabled services as described in these Terms. If another customer independently requests the same or similar protein sequence, target, SMILES, molecule, interaction pair, or workflow, Om may generate or provide the same or similar predictions, scores, rankings, data, or outputs for that customer without treating that as a disclosure of your Customer Data or customer-specific Generated Data. By using the Services or placing an order, you acknowledge and agree to the processing described in these Terms and in the applicable product flow or written Om agreement.

What we use for model training

  • Protein sequences, targets, SMILES, molecules, interaction pairs, and computational requests you submit through Data Generation workflows and other products or written Om agreements that allow model training
  • Outputs, predictions, scores, rankings, and Generated Data we generate from those products, workflows, and orders

What we never use for model training or sale

  • Your personal information (name, email, etc.)
  • Payment information
  • Account credentials
  • Any other personal or account data

Note on support communications: We may use customer support communications internally to provide support, troubleshoot issues, improve product features, improve support quality, and improve the Services. We do not sell support communications. Where support communications or Service Data are used to improve the Services, including model-enabled systems, we use reasonable data-minimization, access-control, aggregation, and de-identification practices where appropriate and technically feasible.

6. Subscription Plans and Data Generation

Your order form or checkout flow specifies your subscription plan, Data Generation order, and license scope. Subscription pricing and plan changes are plan-based. Plans may control Data Generation Slots, plan-only model access, plan-only API or MCP access, Om-hosted model access, and related entitlements. Wallet Credits are tracked separately from checkout, invoice, and Data Generation Slot entitlements unless a written Om agreement expressly says otherwise. A Data Generation Slot means generation work in process under a subscription plan, not a monthly publication, resale, or ownership quota. Om may evolve plan availability, Data Generation Slot limits, and entitlement behavior over time. You can change subscription plans through the in-app subscription flow when available. New or expanded plan rights apply only after successful payment confirmation, unless a separate written Om agreement expressly grants retroactive coverage. Data Vintages may appear in product flows, APIs, documentation, or benchmarking materials as release and provenance metadata. Unless a separate written Om agreement expressly says otherwise, Vintages do not create standalone dataset resale, publication, redistribution, sublicensing, unrelated-protein access, or broader platform rights. Data Generation order access for an ordered protein_uuid may include updated snapshots or vintages Om makes available for that same protein_uuid.

6.1 Paid Plan Rights

  • Paid plans and Data Generation orders may be used for your own research, discovery, screening, validation, prioritization, diligence, licensing review, partnering review, product, business, and downstream development purposes within the applicable plan, checkout flow, order form, or written Om agreement.
  • Plan rights do not permit publication, resale, sublicensing, redistribution, or disclosure of Generated Data, Om Data, Om model outputs, distilled model predictions, model weights, embeddings, parameters, checkpoints, or similar restricted model artifacts unless Om expressly agrees in writing.
  • Generated Data for an ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid, is licensed for your permitted use under that order or agreement and these Terms. Subscription cancellation does not by itself require deletion of Generated Data already generated under a paid Data Generation order.
  • Customer Derived Data remains yours to use and publish, subject to the restrictions in these Terms.
  • Any research-only, beta, promotional, or evaluation limitation applies only if the applicable plan, checkout flow, order form, or written Om agreement expressly says so.

6.2 Plan Model Entitlements and Data Generation Slots

  • Subscriptions may provide subscription-gated model access, model-enabled workflows, APIs, MCP tools, Om-hosted models, Data Generation Slots, plan quotas, plan-specific paid workflow pricing, and related plan entitlements.
  • Data Generation Slots control the number of Data Generation workflows that may be in process at the same time, unless the plan or order form says otherwise.
  • Data Generation Slots, checkout, invoices, order forms, or written Om agreements can authorize generation work or workflow access. A paid Data Generation order, checkout, order form, or written Om agreement covers Generated Data for the ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid, while all restrictions in these Terms continue to apply.
  • Data Generation is non-exclusive unless Om expressly agrees otherwise. Om may generate or provide the same or similar predictions, scores, rankings, data, or outputs for another customer that independently requests the same or similar protein sequence, target, SMILES, molecule, interaction pair, or workflow.
  • Using Om Data, Generated Data, Om model outputs, or distilled model predictions to train a secondary model designed to bypass these Terms is prohibited.

6.3 Customer Use and Downstream Outputs

  • You may use Generated Data tied to a paid Data Generation order, Customer Derived Data, and Physical Derived Works for your own research, discovery, screening, validation, prioritization, diligence, licensing review, partnering review, product, business, and downstream development purposes within your permitted-use scope.
  • You may use and publish permitted Customer Derived Data and Physical Derived Works in your own customer-facing products, publications, collaborations, and programs if they do not include, disclose, distribute, or enable reconstruction of Generated Data, Om Data, Om model outputs, distilled model predictions, or restricted model artifacts.
  • You may provide reports, analyses, conclusions, or other customer-facing materials only to the extent they do not include, disclose, distribute, or enable reconstruction of Generated Data, Om Data, Om model outputs, distilled model predictions, or restricted model artifacts.
  • No transfer of model weights, restricted model artifacts, raw Generated Data, raw Om Data, or substitute datasets to clients unless Om expressly agrees in writing.
  • No royalties or reporting obligations apply unless separately agreed.

6.4 Wallet Credits

Wallet Credits apply to pay-as-you-go Om usage (for example, Hub job requests, molecule-scoring workflows priced by molecules scored, Diligence, API or MCP workflows, and other supported Wallet-priced workflows) and do not grant standalone data publication, resale, sublicensing, redistribution, or dataset-product rights. Wallet Credit purchases are separate from subscription plan pricing unless the applicable checkout flow, order form, or written Om agreement expressly says otherwise.

6.5 Data Generation Orders

Data Generation orders are paid requests to run customer-specific screens or generate new datasets, files, reports, rankings, predictions, scores, and related data outputs. Each order, checkout flow, or subscription plan specifies the scope, pricing, delivery method, Data Generation Slots, and applicable license. Data Generation Slots, checkout, invoices, order forms, or written Om agreements can authorize generation work or workflow access. A paid Data Generation order, checkout, order form, or written Om agreement grants continuing rights to use Generated Data for the ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid, and all publication, resale, sublicensing, redistribution, disclosure, reconstruction, and transfer restrictions continue to apply. Om may use Generated Data from Data Generation workflows to provide, maintain, secure, troubleshoot, validate, improve, train, fine-tune, evaluate, and make available Om models or model-enabled services. Unless Om expressly agrees in writing, Data Generation does not mean Om or you may publish, resell, sublicense, redistribute, or disclose customer-specific raw Generated Data or training datasets as standalone datasets or data products. Data Generation is non-exclusive unless Om expressly agrees otherwise, and Om may generate or provide the same or similar predictions, scores, rankings, data, or outputs for other customers that independently request the same or similar protein sequence, target, SMILES, molecule, interaction pair, or workflow. Customer-specific raw Generated Data and training datasets from Data Generation are not published, resold, redistributed, licensed, or disclosed to other customers as standalone datasets or data products unless a separate written Om agreement or order form expressly says otherwise, but may still be used by Om internally for platform improvement, training, fine-tuning, evaluation, and model-enabled services as described in these Terms. Data Generation orders do not grant publication, resale, redistribution, sublicensing, or standalone dataset-product rights unless expressly stated. Data Generation work may be authorized through Data Generation Slots, checkout, invoices, subscription entitlements, order forms, or other written Om agreements, as stated in the applicable flow. Once Om delivers Generated Data, files, reports, or related results under a Data Generation order, those delivered materials are Outputs, Generated Data, and Om Data for purposes of Sections 7, 11, and 12 unless Om expressly grants different rights in a separate signed order form or other written Om agreement. Subscription cancellation by itself does not require deletion of Generated Data already generated and paid for under a Data Generation order, and the same Terms continue to apply to that Generated Data. The transfer, publication, commercialization, third-party recipient, indemnity, breach, remediation, and enforcement rules in these Terms apply to those delivered materials to the extent they are licensed under these Terms.

6.6 Molecule Fulfillment

Molecule Fulfillment workflows may let you search provider availability, request quotes, create checkout-backed or invoice-backed orders, track order status, and arrange shipment for physical molecules or related materials. Om may facilitate these workflows through third-party providers, but those providers are responsible for their own catalog information, provider claims, specifications, ordering rules, synthesis, procurement, packaging, shipping, handling, certificates, regulatory qualifications, and fulfillment outcomes. Om does not guarantee provider availability, exact match, synthesis success, identity, purity, yield, quantity, delivery timing, provider claims, regulatory suitability, fitness for your intended use, or downstream experimental results. Om strives to work with reputable providers that we believe meet high quality standards and to keep provider-backed availability, pricing, quote, and status information accurate, but provider information can change. You should consult the applicable provider's documentation, specifications, terms, and compliance guidance for provider-specific representations, warranties, and restrictions. You are responsible for lawful ordering, shipping, receipt, storage, handling, use, transfer, and disposal of any fulfilled materials, including any permits, approvals, import/export obligations, institutional rules, or safety requirements. Molecule Fulfillment does not grant raw Om Data, Generated Data, model weights, restricted model artifacts, Data Access rights, publication rights, resale rights, or broader platform rights unless a checkout flow, order form, or written Om agreement expressly says otherwise.

7. Intellectual Property; Outputs and Derived Works

The Services and their content are owned by Om and its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable license to access and use the Services and Om Data as described below. Om Data and Generated Data are licensed, not sold. Active plans, Wallet Credits, paid orders, checkout flows, and other written license coverage each govern the entitlements they expressly cover. Subscription coverage governs subscription-gated Om products, Data Generation Slots, plan quotas, plan-specific paid workflow pricing, and plan-only Om-hosted or customer fine-tuned models. Separately funded Wallet Credits govern supported pay-as-you-go Hub, Diligence, API, MCP, and molecule-scoring usage while your account is active, funded, in good standing, and the relevant workflow is available. Paid Data Generation orders and written Om agreements govern the license to use Generated Data for the ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid. If the applicable subscription ends, subscription-gated access ends unless a separate written Om agreement or order form expressly says otherwise, but subscription cancellation does not by itself require deletion of Generated Data already generated under a paid Data Generation order.

Licenses by access type

  • Paid subscription plans: subscription-gated Om models, model-enabled workflows, APIs, MCP tools, Om-hosted models, Data Generation Slots, plan quotas, plan-specific paid workflow pricing, and related entitlements as stated in the applicable plan, checkout flow, order form, or written Om agreement.
  • Data Generation order licenses: rights to use Generated Data for the ordered protein_uuid, including updated snapshots or vintages Om makes available for that same protein_uuid, for your permitted use under that order or agreement and these Terms, while all publication, resale, sublicensing, redistribution, disclosure, reconstruction, and transfer restrictions continue to apply.
  • Customer Derived Data: your own independent downstream experimental results, assays, annotations, validation data, conclusions, and analyses, which you may use and publish if they do not include or enable reconstruction of restricted materials.

What you can do

  • Create Digital Derived Works, Physical Derived Works, and Customer Derived Data within your permitted-use scope.
  • Use Digital Derived Works for your permitted use under the applicable license, provided they do not publish, transfer, disclose, or enable reconstruction of Generated Data, Om Data, Om model outputs, distilled model predictions, model weights, embeddings, parameters, checkpoints, or similar restricted materials unless Om expressly agrees in writing.
  • Own and use Physical Derived Works created while you had a valid license; these rights are perpetual and do not terminate when a subscription ends.
  • Use and publish Customer Derived Data without maintaining an active Om license, provided it does not include, disclose, distribute, or enable reconstruction of Generated Data, Om Data, Outputs, Om model outputs, distilled model predictions, Digital Derived Works, or restricted model artifacts.

Physical Derived Works

You own Physical Derived Works you create using Om Data or Digital Derived Works, provided the Om Data and Digital Derived Works were accessed and used during a valid license period. These rights are perpetual and survive termination of any subscription, subject to any research-only, beta, promotional, evaluation, field-of-use, or other limits stated in the applicable plan, checkout flow, order form, or written Om agreement. This does not grant rights to continue accessing subscription-gated Om products, plan-only Om-hosted models, Data Generation Slots, or related subscription-only Services after the applicable entitlement ends.

What you cannot do without written consent

  • Resell, publish, redistribute, or share Generated Data or Om Data itself.
  • Transfer Om model outputs, distilled model predictions, model weights, embeddings, parameters, checkpoints, or raw data to third parties except as expressly permitted by your plan, order form, or written Om agreement.
  • Provide Generated Data, Om Data, license-contingent Outputs, Digital Derived Works, Om model outputs, distilled model predictions, or restricted model artifacts to any third party except as expressly permitted by your plan, order form, or written Om agreement.
  • Use Om Data, Generated Data, Om model outputs, distilled model predictions, or Derivative Models to train a student model designed to bypass these Terms.
  • Unauthorized publication or reselling of Generated Data or Om Data is a material breach and may result in suspension, termination, required remediation, litigation, or other remedies available by law.

Unauthorized transfer and remedies

If you disclose Generated Data, Om Data, Outputs, license-contingent Digital Derived Works, Om model outputs, distilled model predictions, or related model artifacts to a third party without an applicable license or written permission for that use, the transfer is unauthorized and may be a material breach. Om may require you and the recipient to stop use, return, delete, destroy, or certify destruction of the affected materials, and Om may determine whether a cure period is available based on the nature, severity, and remediability of the breach.

If your license permits third-party-facing Digital Derived Works, any recipient-facing transfer, sale, or license must be under written terms that: (i) limit the recipient to the scope you are authorized to grant; (ii) prohibit further transfer of raw data, Generated Data, Om Data, Om model outputs, distilled model predictions, and model weights except as Om expressly permits; and (iii) preserve Om's ownership and enforcement rights. Om is an intended third-party beneficiary of those recipient-facing restrictions and may enforce them directly.

You remain responsible for the acts and omissions of any affiliate, contractor, service provider, client, customer, distributor, reseller, successor, or other recipient that receives Generated Data, Om Data, Outputs, license-contingent Digital Derived Works, Om model outputs, distilled model predictions, or related model artifacts from or through you.

Access termination and surviving restrictions

Subscriptions and other written license coverage control only the access rights and entitlements they state. If your subscription ends or payment fails, we may suspend or terminate subscription-gated access, Data Generation Slots, plan quotas, plan discounts, plan-only Om-hosted models, customer fine-tuned models tied to that subscription, and related subscription-only Services after any applicable final billing timing or cure period. Separately funded Wallet Credits and supported pay-as-you-go workflows remain governed by your wallet balance, account standing, product availability, payment status, and these Terms. Subscription cancellation does not by itself require deletion of Generated Data already generated under a paid Data Generation order, and you may continue using that Generated Data under the same Terms and order-specific restrictions. Cancellation does not grant new rights to unrelated protein_uuids, unrelated Generated Data, new workflows, new Data Generation Slots, broader Om Data, plan-only Om-hosted models, or services outside an active plan, paid order, wallet-funded workflow, order form, or written Om agreement. Customer Derived Data and Physical Derived Works are not clawed back if they do not include, disclose, distribute, or enable reconstruction of restricted materials.

If you fail to pay a fee for the specific Data Generation workflow, checkout, order, subscription period, or other entitlement that produced or delivered restricted materials, we may withhold delivery, suspend access, or treat use of the affected materials as unauthorized until resolved. Unauthorized publication, resale, sublicensing, redistribution, disclosure, reconstruction, transfer, or out-of-scope commercialization is a material breach. Om may decide whether a cure period is available based on the nature, severity, and remediability of the breach. If the breach is not cured to Om's satisfaction, or if Om determines immediate action is appropriate, Om may pursue suspension, termination, injunctive relief, damages, litigation, or other remedies available by law.

Any party that receives or uses Generated Data, Om Data, Om model outputs, distilled model predictions, restricted model artifacts, or Digital Derived Works outside the permitted scope must stop use and delete or return the materials upon request, and may be subject to remediation and other available remedies. You remain responsible for downstream recipients that receive restricted materials from or through you.

For any unauthorized transfer, continued unauthorized use, or failure to return, delete, destroy, or stop using affected materials when these Terms require it, Om may seek injunctive relief, specific performance, return, deletion, destruction, or certification of destruction against you and, to the extent permitted by law, any unauthorized recipient.

Unauthorized sale, sublicense, publication, redistribution, third-party transfer, or out-of-scope commercialization of Generated Data, Om Data, Outputs, license-contingent Digital Derived Works, Om model outputs, distilled model predictions, or prohibited model artifacts is a material breach. Om may require prompt remediation and may decide whether a cure period is available based on the nature, severity, and remediability of the breach. If the breach is not cured to Om's satisfaction, or if Om determines immediate action is appropriate, Om may pursue injunctive relief, damages, litigation, or other remedies available by law.

Enforcement and audits

We may use dataset ID tracking, provenance checks, watermarking, access logs, and other technical compliance tools to detect unauthorized use. We may audit compliance records, including publication scope and third-party transfer scope, and you agree to cooperate with reasonable compliance requests. Unauthorized use is a material breach and may result in suspension, termination, and legal action.

You grant Om a non-exclusive, worldwide, royalty-free license to use feedback or suggestions you provide to improve the Services.

8. Payment and Orders

Prices, fees, and taxes may change at any time. Payment is due at the time of order unless we agree otherwise in writing. Subscription plans renew for the billing interval stated in the applicable checkout flow, order form, or written Om agreement; a checkout may present annual commitments billed monthly, monthly billing, or another billing cadence. Cancellation takes effect according to the applicable billing flow, order form, or written Om agreement and stops future renewals. Cancellation does not waive monthly installments or other amounts owed for the current commitment. When cancellation becomes effective, subscription-gated access, quota, and future-use entitlements end unless a separate written Om agreement or order form expressly says otherwise. Cancellation does not by itself require deletion of Generated Data already delivered under a paid Data Generation order. If payment fails, we may suspend access and provide a 60-day cure period before terminating subscription-based licenses. Upgrade fees, order fees, and written-license fees are due upfront and are non-refundable once processed. Credit purchases may be non-refundable except where required by law. Promotions and credit codes may be subject to additional terms.

9. No Medical or Clinical Use

The Services and Outputs are for research and informational purposes only and are not intended for diagnostic or therapeutic use. Om does not provide medical advice. Do not submit PHI unless we have executed an appropriate agreement permitting it.

10. Warranties and Disclaimers

THE SERVICES AND Om DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. Om DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Om AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. Om TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO Om FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Om may require remediation and may decide whether a cure period is available based on the nature, severity, and remediability of the breach. If the breach is not cured to Om's satisfaction, or if Om determines immediate action is appropriate, Om may pursue injunctive relief, damages, litigation, or other remedies available by law, including for unauthorized acts by any affiliate, contractor, service provider, client, customer, distributor, reseller, successor, or other recipient that receives those materials from or through you.

12. Indemnification

You will defend, indemnify, and hold harmless Om and its affiliates from and against any claims, losses, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Services, Generated Data, or Om Data, your Service Data or Outputs, your violation of these Terms or applicable law, or your unauthorized sale, sublicense, publication, redistribution, transfer, or out-of-scope commercialization of Generated Data, Om Data, Outputs, license-contingent Digital Derived Works, Om model outputs, distilled model predictions, or prohibited model artifacts, including claims, losses, and expenses arising from acts or omissions of any affiliate, contractor, service provider, client, customer, distributor, reseller, successor, or other recipient that receives those materials from or through you.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and Om agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, and each party waives any objection to venue in those courts. YOU AND Om WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

14. Export and Sanctions

You may not use or access the Services in violation of U.S. export control or sanctions laws or in any jurisdiction embargoed by the United States. You represent that you are not a denied or restricted party under applicable trade controls.

15. Changes to the Services and Terms

We may modify the Services and these Terms from time to time. A new version of the Terms becomes effective when we publish it and activate it in our application (the in-app Terms version). Continued use of the Services requires accepting the current in-app legal version (covering Terms and Privacy Policy); if you do not agree, you must stop using the Services.

16. Miscellaneous

  • Assignment; Transfer of Derived Works: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. If you transfer or sell a Digital Derived Work or your business (including via merger or acquisition), the recipient must assume the applicable subscription, license, order-form, written Om agreement, confidentiality, non-publication, non-transfer, and other use restrictions for any Generated Data, Om Data, or Digital Derived Works involved in that transfer.
  • Force Majeure: Om will not be liable for delays or failures due to events beyond its reasonable control.
  • Severability; Waiver: If a provision is unenforceable, it will be modified to the minimum extent necessary; failure to enforce is not a waiver.
  • Entire Agreement: These Terms constitute the entire agreement between you and Om regarding the Services and supersede prior agreements.
  • Publicity: We do not use your name, logo, trademarks, or project details in public communications (including our website, case studies, or press releases) without your prior written permission. If you opt in, any permitted use will follow your brand guidelines and the scope you approve.
